1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the PIE platform, including the PIE mobile application, website at pieapp.io, and all related services (collectively, the "Platform"), operated by PIE Inc. ("PIE," "we," "us," or "our").
By registering for an account, clicking "I Agree," or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies we publish.
2. Definitions
- Affiliate Link: A trackable URL provided by an affiliate network that attributes a purchase to a specific influencer and enables commission tracking
- Cashback: A portion of an influencer's affiliate commission shared with a shopper upon a confirmed purchase — funded entirely from the influencer's commission, not charged additionally to the brand
- Quest: An engagement challenge created by an influencer that rewards shoppers with bonus cashback for completing specific real social actions
- Pending Cashback: Cashback calculated but held in reserve until the affiliate network confirms the purchase
- Confirmed Cashback: Cashback released to a shopper's available wallet balance after purchase confirmation
- Reversed/Voided Cashback: Cashback cancelled due to a product return, cancellation, fraud, or chargeback
- XP (Experience Points): A gamification metric tracking cumulative engagement on the Platform — determines level and unlocks perks
- Loyalty Points: Per-influencer engagement points earned through purchases and quest completions linked to a specific influencer
3. Eligibility and Account Registration
You must be at least 18 years of age to create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You may not create multiple accounts to circumvent Platform rules or earn duplicate rewards.
4. Shopper Terms
4.1 How Cashback Works
When you make a purchase through an affiliate link on PIE, PIE receives a commission from the affiliated merchant via an affiliate network. The influencer whose link you used determines the cashback rate — a percentage of their commission they have elected to share with you. Cashback is not a discount at checkout; it is a post-purchase reward credited after the transaction is confirmed.
4.2 Cashback Lifecycle
- Pending: Cashback is calculated when PIE receives a transaction notification from the affiliate network. It is held during the merchant's return window (typically 30–90 days)
- Confirmed: Once the affiliate network confirms the transaction as final, cashback is released to your available wallet balance
- Reversed/Voided: If you return a product, cancel an order, or if fraud is detected, the cashback will be voided. If confirmed cashback has already been credited, PIE reserves the right to deduct the reversed amount from your current or future balance (clawback)
Important: PIE does not guarantee any specific cashback amount or timeline. Cashback is subject to affiliate network confirmation and may be reduced, delayed, or voided due to circumstances outside PIE's control.
4.3 Quest Rules for Shoppers
- Complete quest actions genuinely and in good faith — actually follow, watch, or engage as required
- Do not use bots, automated tools, or fake accounts to simulate quest completion
- Unfollowing an influencer on a connected social platform will void all InfX-linked cashback coupons and reset your loyalty XP bar for that influencer
- FOLLOW quest cashback is non-stackable and disables other active cashback coupons for the same purchase
4.4 Wallet and Withdrawals
Confirmed cashback is stored in your PIE wallet. You may request a withdrawal to a linked payment account when your balance meets the minimum threshold (USD $20.00). PIE reserves the right to withhold withdrawal processing if your account is under review for suspected fraud.
5. Influencer Terms
5.1 Subscription Plans
- Basic ($30/month): Cross-network affiliate link aggregation, unified analytics, and conversion tracking
- Pro ($60/month): All Basic features plus advanced analytics, quest customisation, and real-time dashboards
- Enterprise (custom pricing): White-label solutions, dedicated support, and custom integrations
5.2 Cashback Rates
By setting a cashback rate, you acknowledge that the cashback amount will be deducted from your affiliate commission. PIE does not contribute to cashback payments. You will not set cashback rates that exceed your actual commission rate.
5.3 Quest Creation Rules
- A quest may contain a maximum of 3 tasks
- The base cashback rate for a quest is a minimum of 2% of the product price, funded from your commission
- Quest tasks must involve real, verifiable social actions on supported platforms
- You may not create quests designed to artificially inflate engagement metrics or commission earnings
- You must clearly disclose your affiliate relationship in all promotional content (FTC guidelines and equivalent laws)
6. Brand Partner Terms
Brand partners must maintain valid affiliate program participation through a supported network, provide accurate product information and pricing, honor affiliate commissions for all qualifying transactions, and provide timely transaction confirmation or reversal notifications. PIE does not guarantee any minimum sales volume or traffic for brand partners.
7. Prohibited Conduct
Fraud and Abuse
- Creating fake accounts, self-referrals, or coordinated purchase schemes to generate fraudulent cashback
- Using bots, scripts, or automated tools to simulate clicks, purchases, or quest completions
- Making purchases with the intent to return after cashback is credited
Platform Integrity
- Attempting to reverse-engineer, scrape, or exploit the Platform's systems or APIs
- Impersonating another user, influencer, brand, or PIE employee
- Circumventing account restrictions or bans
8. Intellectual Property
The Platform, including the PIE name, pie-motif logo, software, and all content created by PIE, is owned by PIE Inc. and protected by intellectual property laws. By posting content on the Platform, you grant PIE a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with operating the Platform. You retain ownership of your content.
9. Payments, Fees, and Taxes
Influencer subscription fees are charged in advance and are non-refundable except as required by applicable law. PIE's ability to pay cashback is contingent on receiving the corresponding commission from affiliate networks. You are solely responsible for determining and paying any applicable taxes on cashback received or affiliate commissions earned.
10. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. PIE DOES NOT GUARANTEE ANY MINIMUM EARNINGS, CASHBACK AMOUNTS, OR AFFILIATE REVENUES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIE'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PIE IN THE PRECEDING 12 MONTHS, OR (B) $100 USD.
11. Term, Suspension, and Termination
PIE may suspend or terminate your account for violations of these Terms, fraudulent activity, or prolonged inactivity (more than 18 consecutive months). Upon termination for cause, all pending and available cashback and rewards are forfeited. You may close your account at any time by contacting support@pieapp.io.
12. Dispute Resolution and Governing Law
Before initiating legal proceedings, you agree to contact PIE at legal@pieapp.io and attempt informal resolution within 30 days. Cashback disputes must be submitted within 90 days of the relevant transaction. These Terms are governed by the laws of the Province of Ontario, Canada. Any legal proceedings shall be brought exclusively in the courts of Ontario, Canada.
13. User Representations
By using the Platform, you represent and warrant that: you have the legal capacity to enter into these Terms; you are not a minor in your jurisdiction; you will not access the Platform through automated or non-human means; you will not use the Platform for any illegal or unauthorised purpose; and all information you provide is accurate, current, and complete.
14. Modifications and Interruptions
PIE reserves the right to change, modify, or remove any content or features of the Platform at any time without notice. We cannot guarantee the Platform will be available at all times. PIE has no liability for any loss or inconvenience caused by inability to access the Platform during downtime or discontinuance.
15. Corrections
There may be information on the Platform containing typographical errors, inaccuracies, or omissions, including descriptions, pricing, and cashback rates. PIE reserves the right to correct any errors at any time without prior notice.
16. User Data
PIE will maintain certain data that you transmit to the Platform for the purpose of managing performance. Although PIE performs regular backups, you are solely responsible for all data you transmit. PIE shall have no liability for any loss or corruption of such data, and you waive any right of action arising from such loss.
17. Electronic Communications, Transactions, and Signatures
By using the Platform, you consent to receive electronic communications from PIE and agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communication be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES AND ELECTRONIC DELIVERY OF NOTICES AND RECORDS.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PIE
- Severability: If any provision is found invalid, the remaining provisions continue in full force
- Waiver: PIE's failure to enforce any right is not a waiver of that right
- Assignment: You may not assign your rights under these Terms without PIE's prior written consent
- Class Action Waiver: To the extent permitted by law, you waive any right to participate in a class action lawsuit against PIE
